1. Who we are
These Terms & Conditions (“Terms”) are an agreement between you and Our It Space (“Our It Space”, “we”, “us”, “our”), Unit 4, Storm 12 Plaza Shopping Centre, 54 St Mary’s Rd, Southampton, SO14 0BH, United Kingdom. Email: ouritspace@gmail.com. Phone: +1 (978) 403-8654.
They apply to the website at https://tools.ouritspace.com and to Agency Manager, our web-based software (together, the “Service”). By creating an account, purchasing a subscription or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you confirm you are authorised to bind that business.
2. The Service
Agency Manager is software-as-a-service for managing client orders, content workflows, delivery monitoring, reporting and invoicing for digital marketing and SEO agencies. We provide access to software only.
We do not sell links, placements, advertising, marketing or SEO services through the Service, and we do not act as a marketplace or payment intermediary between you and your clients. Any services you provide to your own clients, and any payments your clients make to you, are solely between you and them.
3. Merchant of Record — Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
When you buy a subscription, you are buying from Paddle, who resells the Service on our behalf. Your purchase is also subject to the Paddle Buyer Terms. Paddle collects payment, calculates and remits applicable taxes (such as VAT and US sales tax), issues your invoices and receipts, and appears on your card statement (typically as “PADDLE.NET* OURITSPACE”).
For questions about a charge, invoice, payment method or refund you may contact Paddle directly at paddle.net, or contact us and we will help.
4. Accounts
- You must be at least 18 years old and provide accurate account information.
- You are responsible for keeping your login credentials secure and for all activity under your account, including activity by team members and clients you invite.
- Notify us promptly of any unauthorised use of your account.
5. Plans, pricing and billing
- Plans, features and prices are shown on our Pricing page. Prices are in US dollars and exclude taxes, which are added at checkout where applicable.
- Subscriptions are billed in advance on a monthly or yearly basis, starting on the date of purchase.
- Automatic renewal: your subscription renews automatically at the end of each billing period at the then-current price for your plan, until you cancel. Paddle will charge the payment method on file.
- If we change prices, we will give you at least 30 days’ notice by email; the new price applies from your next renewal after that notice.
- Upgrades take effect immediately and are prorated. Downgrades take effect at the start of your next billing period.
- If a payment fails, Paddle may retry the charge. If payment remains unsuccessful we may suspend access until the balance is paid.
6. Cancellation
You can cancel at any time from your account settings, via the subscription management link in your Paddle receipt email, or by emailing us. Cancellation stops future renewals; you keep access until the end of the period you have already paid for. We do not charge cancellation fees.
7. Refunds
New subscriptions are covered by a 14-day money-back guarantee. Full details, including how to request a refund and your statutory rights as a consumer, are in our Refund Policy, which forms part of these Terms. Refunds are processed by Paddle.
8. Acceptable use
You agree not to use the Service to:
- break any law or regulation, or infringe anyone’s intellectual property, privacy or other rights;
- send spam or unsolicited bulk messages, or store or distribute malware;
- attempt to gain unauthorised access to the Service, other accounts or our systems, or to probe, scan or overload our infrastructure;
- process payments on behalf of third parties through our checkout, or resell the Service without our written permission;
- store unlawful, fraudulent, defamatory, harassing, adult or hateful content;
- copy, reverse-engineer or create derivative works from the Service except as permitted by law.
We may suspend or terminate accounts that breach this section.
9. Your data
You keep all rights to the data and content you and your clients upload (“Customer Data”). You grant us a limited licence to host, process and display Customer Data only to provide and improve the Service. You are responsible for having the right to upload Customer Data and, where it contains personal data of your clients, for having a lawful basis to do so.
You may export your Customer Data at any time while your account is active and for 30 days after it ends, after which we may delete it. Our handling of personal data is described in our Privacy Policy.
10. Intellectual property
The Service, including its software, design, logos and documentation, is owned by Our It Space and protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. Feedback you give us may be used to improve the Service without obligation to you.
11. Availability and support
We aim to keep the Service available around the clock but do not guarantee uninterrupted access. We may carry out maintenance, which we will try to schedule outside business hours and announce in advance where possible. Support is provided by email at the response times described on our website for your plan.
12. Warranties and liability
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose. We do not guarantee any particular business, SEO or ranking outcome from using the Service.
To the fullest extent permitted by law, our total liability arising out of or relating to the Service in any 12-month period is limited to the amount you paid for the Service in that period, and we are not liable for indirect or consequential losses, lost profits or lost data. Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence or for fraud, or affects your statutory rights as a consumer.
13. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or if required by law, giving notice where reasonably possible. On termination, your right to use the Service ends; sections that by their nature should survive (including Intellectual property, Warranties and liability, and Governing law) will survive.
14. Changes to these Terms
We may update these Terms from time to time. We will post the new version on this page with a new “Last updated” date and, for material changes, notify you by email at least 30 days before they take effect. Continued use after that date means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, except that if you are a consumer you may also benefit from mandatory protections and bring proceedings in your country of residence.
